GENERAL TERMS AND CONDITIONS BEDS AND ACCESSORIES

These general terms and conditions apply to all offers, orders and agreements of sale and delivery of beds, mattresses and accessories. They form an integral part of any agreement concluded with the buyer. The latter is deemed to know and accept the general terms and conditions. Other or contrary conditions of the customer shall be deemed unwritten, except insofar and to the extent that they are expressly accepted in writing by B&B Miranoza.

 

1. All quotations, oral or written, are without obligation, approximate and without any commitment on the part of B&B Miranoza. If, after an offer has been made, but before the sale has been concluded, the prices of the supplies on which the offers are based are changed due to certain circumstances, such as changed purchase prices, wages or taxes, B&B Miranoza will be entitled to revise the price. In such case, the new price as stated on the invoice shall apply.

 

2. Every sale is binding on B&B Miranoza only after written confirmation by B&B Miranoza. Orders signed by the customer bind them irrevocably, regardless of whether payment has been made or not.

 

3. Delivery and execution terms are stated in good faith and approximate and do not bind B&B Miranoza, unless expressly agreed otherwise in writing. Delays in the delivery or execution of the work do not entitle the customer to unilaterally terminate the agreement, nor do they entitle the customer to refuse the merchandise or to compensation. Changes to the order on behalf of the buyer automatically mean that the initially proposed delivery deadlines lapse.

 

4. Delivery of the ordered goods will only be made after full payment of the order, including transport costs, by the customer.

 

5. Unless otherwise agreed in writing, invoices from B&B Miranoza are payable by bank transfer. Any invoice not paid within the stipulated term will automatically and without notice of default (a) incur the legal interest on arrears in accordance with the Law of 2 August 2002 on combating late payment in commercial transactions and (b) be increased by a fixed compensation amounting to 10% of the invoice amount with a minimum of 50 euros.

 

6. With the exception of complaints relating to hidden defects, all complaints, including those relating to non-conformity and visible defects, must be made by registered letter, stating reasons, within seven days of receipt of the goods. Complaints for hidden defects must be notified in writing by registered letter, stating the reasons, within 28 days of their discovery at the latest, on pain of forfeiture of rights.

 

7. The customer enjoys a guarantee on ordered beds, box springs and mattresses. The guarantee conditions of the supplier concerned, Revor Bedding N.V., which can be found via this link, apply here.

 

8. The liability of B&B Miranoza is in any event limited to compensation of foreseeable, direct and personal damage and to the amount of the invoiced amount of the delivery concerned, including VAT. B&B Miranoza cannot be held liable for any indirect or consequential damage.

 

9. Delivered materials will not be taken back except by express written agreement, in which case 70% of the price will be refunded, provided they are returned intact to the warehouses of the supplier(s) concerned. In that case, the customer shall also reimburse the costs of transport to the supplier. The packaging shall in such case be taken back at 50% of the indicated value.

 

10. All collection and protest costs associated with means of payment and/or associated with payment reminders shall be borne by the buyer.

 

11. Upon cancellation of an order by the customer, B&B Miranoza reserves the right to claim compensation of 10% on the total value of the order and of 30% on the total value of the order if execution of that order has commenced.

 

12. In case of differences between the various translations of these general terms and conditions, the Dutch version shall prevail.

13. All agreements concluded with B&B Miranoza are subject to Belgian law. In the event of a dispute, only the courts of the judicial district of Leuven are competent.
